Investment Details  

We aim to raise $1 million at a valuation of $9 million to propel WRDRB from concept to market readiness. We are seeking contributions from a select group of no more than 10 investors, with a minimum investment of $100,000.  As an early supporter, you will also have first rights to purchase additional shares during future capital raises.   

Offer Structure: Choice of SAFE or Convertible Note  
Investors may choose to participate through a Simple Agreement for Future Equity (SAFE) or a Convertible Note, determined at the time of investment based on the consensus of the preferred instrument. Both options are designed to simplify the investment process and provide you with rights to future equity in WRDRB:  

  • Valuation Cap: Both instruments include a valuation cap of $9 million, ensuring your investment converts at a favorable valuation regardless of the valuation at the time of conversion.  

  • Discount Rate: We offer a 20% discount rate on the share price paid by future investors, rewarding your early support with a beneficial conversion rate.  

  • No Immediate Equity Dilution: These instruments do not involve the immediate issuance of shares or voting rights, aligning our interests for robust growth.  

  • Pro Rata Rights: You will have the opportunity to maintain your ownership percentage by purchasing additional shares in future rounds, within specified limits.
